INDEPENDENT FLEET OWNER/OPERATOR AGREEMENT

It is expressly agreed that Fleet Owner/Operator shall always be acting as an independent contractor in performing any services for the Company. The Owner/Operator and their drivers are not employees of the company.

The Company shall carry no worker’s compensation insurance, or any health or accident insurance to cover Fleet Owner/Operator, or any of his drivers. The Company shall not pay any contribution to social security, unemployment insurance, federal or state withholding taxes, nor provide any other contributions which might be expected in an employer-employee relationship. Fleet Owner/Operator agrees to report and pay any necessary amounts for worker’s compensation, taxes, unemployment insurance, social security, health insurance and other benefits for himself and his drivers, and indemnify, defend and hold harmless the Company.

All Fleet Owner/Operators agree that as to any work obtained through the Company they will not discriminate against any driver or applicant for employment by reason of race, creed, color, sex or national origin, or any other protected group.

 

I. BASIC REQUIREMENTS:

A. YOU MUST PROVIDE A CERTIFICATE OF INSURANCE (COI) SHOWING THE COMPANY AS A CERTIFICATE HOLDER. THIS MUST BE AN ACCORD FORM AND INCLUDE:

  1. Commercial Auto Coverage: Trucking for Hire Operations

  2. $1,000,000 Primary Liability Commercial Auto CSL

  3. $100,000 Broad from Cargo with $1,000 deductible maximum

  4. Unlimited Radius of Operations (Full time with NO radius coverage restrictions) 200, 300 or 500-mile radius with a few runs outside this radius per year will NOT be accepted

  5. All Listed Vehicles (Year, Make, VIN #) and Listed Drivers

B. YOU AND YOUR DRIVER(S) MUST ALL BE OVER THE AGE OF 21 & REGISTERED WITH THE COMPANY PRIOR TO ACCEPTING LOADS.

C. YOU AND YOUR DRIVER MUST HAVE A VALID US DRIVERS LICENSE & MUST NOT HAVE HAD ANY DUIs IN THE LAST 10 YEARS.

 

II. GENERAL INFORMATION

A. You will receive the amount agreed with the dispatcher when you are offered the load. When you are dispatched for the load check the amount sent to you. We are paying for the distance “from zip code to zip- code”. We are paying for miles not for the weight. However, we are not offering you loads which your truck cannot pull. The change in the delivery location causes the reconsideration of the rate per load. NOTE that the difference in less than 20 miles is not negotiable. THESE NUMBERS CAN BE LOWER DEPENDING ON AREA, TIME OF DAY AND VARIETY OF FACTORS.

B. PRICE MUST BE DISCUSSED BEFORE YOU AGREE FOR A BID TO BE PLACED ON THE LOAD, WHICH INCLUDE BUT IS NOT LIMITED TO

  1. Extra pay for tolls

  2. Extra cents per mile due to the load exceeding your weight limit

  3. Short distance

C. THE COMPANY WILL NOT PAY MORE IF EXTRA PALLETS/SKIDS ARE ADDED AT THE SHIPPER AND IF FITS IN THE VEHICLE. YOUR EARNINGS ARE PER MILE, not PER POUND THEREFORE IF THE SHIPMENT WAS CHANGED AND THE NEW WEIGHT OR VOLUME FITS IN THE VEHICLE - THE UNIT MUST TAKE THE SHIPMENT. OTHERWISE IT RISKS TERMINATION OF RELATIONSHIP WITH THE COMPANY. D. DRIVERS AND OWNERS ARE RESTRICTED FROM DISCUSSING PRICING WITH SHIPPERS OR RECEIVERS. ANY LINE OF QUESTIONING TO EITHER, SHARE THE DRIVER PAY WITH SHIPPER/RECEIVER OR TO INQUIRE HOW MUCH THIS LOAD WAS BOOKED FOR, WILL RESULT IN IMMEDIATE CONTRACT TERMINATION.

 

III. ACCEPTING LOADS

A. LOCATION UPDATE IS REQUIRED EVERY TWO HOURS FOR ANY LOAD OF THE COMPANY

B. GENERAL INSTRUCTIONS: PLEASE READ CAREFULLY

  1. Call upon arrival for pick up, once you are loaded, AND at drop off with POD provided

  2. Do not leave the shipper until you have called the office and the dispatcher confirmed the pickup information and gave you an OK to leave.

  3. Freight must be strapped.

  4. If you are running late, you must let the dispatcher know as soon as you see you will be late, not when you are already late.

  5. If the shipper tells you to hand load/unload the freight, you are required to call the office and let the dispatcher know before you start doing anything. In order to get paid for the labor, dispatcher must give you an OK from the broker to do the job.

  6. Your delivery time is what is set by a DISPATCHER, not a SHIPPER.

  7. If the shipper tells you the load has been canceled, you must confirm with your dispatcher before you can leave

  8. If the shipper tells you to unload elsewhere, you are to confirm with the dispatcher before you can move.

  9. 25% REDUCTION WILL BE APPLIED FOR ANY PICK UP/DELIVERY FAILURE.

  10. If Fleet Owner/Operator wants to undertake the pick-up/delivery earlier than scheduled, it shall confirm this with the Company. Otherwise it may result in charges to the Fleet Owner/Operator.

 

IV. RECOVERY POLICY

A. IF YOUR TRUCK BREAKS WHILE CARRYING A COMPANY LOAD, YOU MUST IMMEDIATELY NOTIFY YOUR DISPATCHER WHO WILL FIND ANOTHER TRUCK TO RECOVER AND DELIVER THE LOAD

B. COMPENSATION

  1. The driver who makes the recovery shall be paid the amount he needs to deliver that load

  2. The driver whose vehicle was broken shall be paid the remainder from the whole rate per the load no matter what distance that driver has already made

  3. Other accessorial charges will be covered only as agreed with the Company and only after the Fleet Owner/Operator provides a legible copy of receipt

 

V. PAYMENT

A. ALL BILL OF LADINGS MUST BE SENT TO YOUR DISPATCHER IMMEDIATELY AFTER DELIVERY

B. ALWAYS WRITE YOUR TRUCK# and a PRO NUMBER ON BOLs.

C. PAPERWORK RECEIVED MORE THAN 15 DAYS PAST THE DATE THE LOAD WAS COMPLETED ON WILL BE ASSESSED A 15% PENALTY PER 30 DAYS LATE.

    a. Payments are done every Friday. Payment period begins on Monday and ends on Sunday. That means that those loads, which were closed till Sunday midnight will be paid on Friday next week.

 

VI. STRICTLY FORBIDDEN – PLEASE READ CAREFULLY

A. PARTIALS - THE CONTRACTOR CAN ONLY TAKE ONE LOAD AT ONE TIME WITH ONE COMPANY, TAKING TWO OR MORE LOADS WITH THE SAME OR DIFFERENT COMPANIES AT THE SAME TIME IS STRICTLY PROHIBITED. IN THE EVENT THAT A PARTIAL OCCURRED OR HAS BEEN SUSPECTED:

  1. BEING CHARGED UP TO $500 AND HAVING OUR COLLABORATION TERMINATED IMMEDIATELY

  2. NOT BE PAID FOR THE LOAD BUT CONTINUE TO COOPERATE WITH US.

B. MULTI BIDDING – GIVING RATES TO MORE THAN ONE DISPATCHER OR COMPANY DURING THE 15 MINUTE PERIOD

C. CANCELLATIONS - IF THE CONTRACTOR AGREES TO TAKE A LOAD AND HAS AGREED TO THE RATE WITH OUR DISPATCHER, THE CONTRACTOR CANNOT CANCEL IT LESS THAN 4 HOURS PRIOR TO PICKUP. OTHERWISE, THE CHARGES AND DISCIPLINARY PENALTIES WILL APPLY:

  1. FIRST CANCELLATION: A CHARGE UP TO $300

  2. SECOND CANCELLATION: A CHARGE UP TO $500

  3. THIRD CANCELLATION: TERMINATION OF COOPERATION

*In case of emergencies, proof must be provided within 24 hours of incident

LEASE AGREEMENT

Note: This Lease Agreement should be maintained in the Equipment during the term of the Agreement

 

I. TNV Group LLC (Carrier/Registrant). Adress: 10 REENE CIR SUITE B, CHALFONT, PA 18914, and are parties to a written Lease Agreement (Agreement), whereby the Equipment Owner has leased to the Carrier certain motor vehicle equipment listed below, owned and controlled by the Equipment Owner, whereby the Equipment Owner is providing the Carrier as operator or operators of the Equipment for the purpose of loading, transporting and unloading freight. 

II. The Original Agreement is on file at the Carrier’s General Office. A copy of this Lease Agreement and receipt for the Equipment must be carried on the Equipment as required by CFR 376. Carrier verifies that the Equipment is being operated by the Carrier, pursuant to the terms of the Agreement.

The Lease Agreement shall begin on the date below and shall remain in effect until terminated by either party, giving notice to that effect. Notice may be given personally, by mail or by fax at the address or fax number shown in the Lease Agreement.
